Thanks for choosing Juniper. These Terms explain what you can expect from us and what we expect from you when your team puts our AI agents to work. We’ve tried to keep them readable—please read them in full.
01
Acceptance of these Terms
These Terms of Service (the “Terms”) form a binding agreement between you and Juniper AI, Inc. (“Juniper”, “we”, “us”) and govern your access to and use of the Juniper platform, including our agents, Canvas, Content Pipelines, Juniper IQ, APIs, browser extensions and related websites (together, the “Services”).
By creating an account, clicking “I agree”, or using the Services, you accept these Terms. If you use the Services on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation. If your organisation has signed a separate master subscription agreement with Juniper, that agreement controls where it conflicts with these Terms.
You must be at least 18 years old, and legally able to enter into contracts, to use the Services.
02
Accounts and workspaces
To use most of the Services you need an account. You agree to give accurate, current information when you register and to keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account.
- Each seat is for a single named user. Credentials may not be shared between individuals.
- Workspace administrators may add, remove and manage users, roles and permissions, and may access content in the workspace.
- Tell us promptly at security@juniper.example if you suspect unauthorised access to your account.
03
Subscriptions, fees and billing
Paid plans are billed in advance on a monthly or annual basis, as selected at checkout or on an order form. Fees are stated exclusive of taxes; you are responsible for all applicable sales, use, VAT, GST and similar taxes other than taxes on Juniper’s income.
Renewal
Subscriptions renew automatically for the same term unless either party gives notice of non-renewal before the end of the current term. You can turn off auto-renewal at any time from Settings → Billing.
Changes to plans and pricing
Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing period. We may change list prices on at least 30 days’ notice; a change applies from your next renewal.
Late payment
If an undisputed invoice is more than 15 days overdue, we may suspend the Services after giving you written notice. Except where required by law or expressly stated in these Terms, fees are non-refundable.
04
Free trials and beta features
We may offer a free trial of a paid plan. Unless stated otherwise, trials last 7 days and do not require a payment method. When a trial ends, your workspace moves to read-only until you choose a plan; content is kept for 30 days and then may be deleted.
Features labelled “beta”, “preview” or “experimental” are provided for evaluation, may change or be withdrawn without notice, and are excluded from any service level commitment.
05
Acceptable use
You agree not to, and not to allow anyone else to, use the Services to:
- break any law, or infringe or misappropriate anyone’s intellectual property, privacy or publicity rights;
- generate or distribute content that is defamatory, harassing, sexually exploitative of minors, or that promotes violence or hatred;
- create deceptive content, including impersonating a real person or organisation, or presenting AI-generated reviews or endorsements as genuine;
- send unsolicited bulk communications or run deceptive advertising;
- probe, scan or attack the Services, bypass rate limits or usage controls, or introduce malware;
- reverse engineer the Services or use outputs to build a competing foundation model; or
- resell or sublicense the Services except as permitted under a written partner agreement.
Our Privacy Policy and any product-specific usage policies form part of these Terms. We may suspend content or accounts that we reasonably believe breach this section.
06
Customer content and outputs
“Inputs” are the prompts, briefs, files, brand assets and other materials you provide to the Services. “Outputs” are the content the Services generate in response. Inputs and Outputs together are “Customer Content”.
As between you and Juniper, you own your Customer Content. To the extent Juniper has any rights in Outputs, we assign them to you. You grant Juniper a limited, worldwide licence to host, process, transmit and display Customer Content solely to provide, secure and support the Services for you.
We do not use Customer Content to train AI models, and we contractually require our model providers not to do so either. You are responsible for having the rights needed to submit your Inputs.
07
AI output disclaimer
Outputs are generated by machine-learning models and are probabilistic. They may be inaccurate, incomplete, out of date or similar to content generated for other users. Outputs do not represent Juniper’s views.
You are responsible for reviewing Outputs before you publish or rely on them, including checking facts, claims, citations, regulatory disclosures and third-party rights. Do not use Outputs as a substitute for legal, medical, financial or other professional advice.
08
Juniper intellectual property
Juniper and its licensors own all rights in the Services, including software, models we develop, templates, documentation and the Juniper name and logos. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
If you send us suggestions or feedback, we may use them without restriction or obligation to you, provided we do not identify you as their source without your permission.
09
Confidentiality
Each party may receive non-public information from the other that is marked confidential or would reasonably be understood to be confidential (“Confidential Information”). Customer Content is your Confidential Information.
The receiving party will use Confidential Information only to perform under these Terms, protect it with at least reasonable care, and disclose it only to employees, contractors and advisers who need to know it and are bound by similar obligations. These obligations do not apply to information that is public through no fault of the receiving party, was already known to it, or is independently developed. Disclosure required by law is permitted after giving prompt notice where lawful.
10
Third-party services and integrations
The Services can connect to products you use, such as content management systems, ad platforms, CRMs and cloud storage. When you enable an integration you authorise Juniper to exchange Customer Content with that service on your behalf.
Third-party services are governed by their own terms and privacy policies. Juniper is not responsible for them, and may disable an integration if the provider changes or withdraws its API.
11
Term, suspension and termination
These Terms apply for as long as you use the Services. Either party may terminate a subscription for material breach that is not cured within 30 days of written notice. You may cancel a self-serve plan at any time; cancellation takes effect at the end of the paid period.
On termination, your right to use the Services ends. For 30 days afterwards you can export your Customer Content; we then delete it from active systems within 30 days and from backups within a further 60 days, unless the law requires us to keep it. Sections that by their nature should survive—including ownership, confidentiality, disclaimers, limitation of liability and governing law—survive termination.
12
Warranties and disclaimers
Juniper warrants that, during a paid subscription, the Services will perform materially as described in our documentation. If they do not, your exclusive remedy is for us to use reasonable efforts to fix the non-conformity or, if we cannot, to let you terminate and receive a refund of prepaid fees for the remaining term.
Except as expressly stated, the Services and Outputs are provided “as is” and “as available”. To the fullest extent permitted by law, Juniper disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Services will be uninterrupted or error-free.
13
Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of their possibility. Each party’s total liability arising out of these Terms will not exceed the amounts paid or payable by you to Juniper in the 12 months before the event giving rise to the claim.
These limits do not apply to your payment obligations, a party’s breach of confidentiality, your breach of the acceptable use section, or liability that cannot be limited under applicable law.
14
Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The courts located in San Francisco County, California have exclusive jurisdiction, and each party consents to venue there.
Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and negotiating in good faith for at least 30 days. Either party may seek injunctive relief to protect its intellectual property or Confidential Information at any time.
15
Changes to these Terms
We may update these Terms from time to time. If a change is material, we will tell you at least 30 days before it takes effect, by email to the workspace owner or by a notice in the product. The version and effective date at the top of this page show which Terms apply. Continuing to use the Services after a change takes effect means you accept the updated Terms.
